5. WARRANTIES
The Client warrants that:
The Work as delivered to Ceiling Unlimited will not infringe any copyright, patent, trade secret, or other proprietary right held by any third party; and
Ceiling Unlimited warrants that:
The services shall be performed in a timely manner and shall meet deadlines agreed between Ceiling Unlimited and the Client.
6. TERM
Upon written notice the Client may terminate the use of Ceiling Unlimited's services at any time without cause and without further obligation to Ceiling Unlimited except:
Forfeiture of the deposit
Payment due for services prior to date of such termination within 10 days of contract termination.
7. MISCELLANEOUS
(a) Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Oregon without regard to conflict of law principles.
(b) The language in all parts of this Agreement shall be in all cases construed according to its fair meaning and not strictly for or against either party.
